1. I-Spray’s ESG Commitments

I-Spray is committed to operate within following ESG objectives:

1. Increase efficiency

Paying closer attention to compliance and governance:
Homing in on the operations that are both ESG-compliant and effective, making business activities more efficient.

2. Reduce waste

Prioritizing greater efficiency in our ESG strategy reduces waste over time and taking environmental impact seriously.

3. Cut cost

Both more efficiency and less waste can reduce costs, as businesses can cut anything that does not directly contribute to ESG and the products/activities that contribute to their bottom line.

4. Meet regulatory requirements

Many regulatory bodies enforce ESG-related requirements, such as meeting greenhouse gas (GHG) emission limits. Implementing an ESG strategy ensures businesses avoid the penalties and reputational damage accompanying poor ESG impacts.

5. Build ties with the community

To create an ESG strategy, we will tap into our community. Businesses that engage with their communities also engage with potential customers, suppliers and stakeholders — relationships that can help drive the business forward.

2. I-Spray’s Sustainability Policy

I-Spray commits to establishing sustainability practices into meaningful action, integrating them into our operations, considering the wellbeing of our employees, the environment, and society while promoting economic growth.

Our key social and environmental sustainability focus areas include employee health, safety and wellbeing, climate change and circular economy, air emissions and waste management, energy and water efficiency, materials and chemicals management, and social responsibility.

We work with our external partners to evolve environmentally sustainable supply chain practices and conform to our environmental and health and safety performance expectations and our Supplier Code of Conduct.

I-Spray promotes social corporate responsibility and takes actions to prevent pollution and protect the natural environment and biodiversity from potential harm and degradation arising from our operations:

1. Operating our facilities to better protect the environment, and the health and safety of our employees, contractors, visitors, and the public.

2. Eliminate job hazards and reducing risk by developing and implementing effective mitigation strategies and ensuring consultation and participation with our workers on occupational health and safety matters.

3. Transparently discuss and report on our environmental, health and safety practices and verified performance of our sustainability objectives to our stakeholders, making strategy adjustments as appropriate.

4. Adhere to our Code of Conduct, which establishes our expectations for acting with integrity, behaving in an ethical manner, and ensuring our employees are treated fairly and justly. 

5. Develop employees’ knowledge and skills to support the sustainability aspects of their jobs via training or other learning processes.

6. Be good corporate citizens and support efforts to enhance our local communities and contribute to charitable organizations.

This Sustainability Policy Statement is communicated to employees, suppliers, and contractors working on I-Spray’s behalf as well as to the public and other interested parties.

3. I-Spray’s Code of Ethics & Business Conduct Policy

1. Introduction

This Code of Ethics & Business Conduct Policy of I-SPRAY serves as our ethical commitment and as a guide to proper business conduct for all of our stakeholders. We, at I-SPRAY are committed to doing business legally, ethically and in a transparent manner.

This document applies to all staff who work for the I-SPRAY (including directors, managers, team leaders, employees), and also include other organisations who do business with us.

I-SPRAY expects its staff to be impartial and honest in all affairs relating to their job. All staff bear a responsibility in general, to be of good faith and do nothing to destroy the trust necessary for employment.

The success of our business is based on the trust we earn from our employees, and stakeholders. We gain credibility by adhering to our commitment to fairness and reaching our goals solely through ethical conduct. All staff are expected to adhere to this Code in their professional, as well as personal conduct, treat everyone with respect, honesty and fairness.

I-SPRAY is open to any questions at any time and will not allow punishment or retaliation against anyone for reporting a misconduct in good faith.

Managers and leaders have higher responsibility for demonstrating, also through their actions, the importance of this Code.

Managers and leaders are responsible for promptly addressing every raised ethical question or concern. Employees must cooperate in investigations of potential or alleged misconduct.

Non-compliance to this Code considered as a misconduct that could warrant disciplinary action, including termination of employment or other contract in deserving cases.

We are committed to making efforts to apply our values and norms also throughout the entire value chain of our own suppliers, sub-contractors, service providers and business partners.

4. Compliance with laws and regulations

Our commitment to integrity begins with complying with all applicable local and international laws, rules and regulations. We understand and comply with the legal requirements and commercial practices of lawful business.

We are committed to adhere to every valid and binding contractual agreement that we conclude, and we do not abuse our rights.

Our staff must follow applicable laws and regulations, including this Code at all times and must ensure compliant operation.

5. Sustainability & ESG:

We are committed to meet current requirements without compromising the needs of future generations. To this, we combine economic, environmental, social and governance factors in our operation and our business decisions.

6. Human rights

We are committed to respect human dignity and rights of each individual and community whom we interact with during the course of work. We shall not, in any way, cause or contribute to the violation of human rights. Our staff shall treat everybody with dignity, respect and care and uphold human rights.

7. Fair labour practices and working conditions

We are committed to promote equality in our employment practices and to fair employment and remuneration policy in compliance with applicable laws. We are firmly opposed to employ or contract child or slave labour or any form of forced or compulsory or bonded labour. We condemn all forms of illegal, unfair, unethical labour practice that exploits workforce, destroys social security or serves as tax evasion, including but not limited to undeclared holding back of wages.

Our staff shall act with integrity and treat their colleagues and others through the work with full respect.

8. Discrimination and harassment

We provide equal opportunity in employment, and we do not tolerate any discrimination or harassment or any type from abuse. No direct or indirect discrimination shall take place based on any professionally non-relevant trait or circumstance, like gender, marital status, age, national or social or ethnic origin, colour, religion and political opinion, disability, sexual orientation, employee representation, property, birth or other status. Any kind of discriminatory behaviour, harassment, bullying or victimization is prohibited.

All staff is expected to follow the highest standards of conduct in all verbal and written communication based on mutual respect, and must refrain from any form of harassment, slander or any behaviour that could be taken as offensive, intimidating, humiliating, malicious or insulting.

9. Health, Safety and Environment

We provide clean, safe and healthy work conditions and we are dedicated to maintaining a healthy and safe environment. We are committed to minimise the impact on the natural environment of our operations. We make efforts to reduce the use of finite resources, like energy or water, and the harmful emissions, like waste.

All staff must follow and comply with every applicable health, safety and environmental protection laws, regulations and rules all times.

10. Fair competition and business conduct

Our relationships with business partners are built upon trust and mutual benefits compliant with competition law. We are dedicated to ethical and fair competition, as we sell products and services based on their quality, functionality and competitive pricing. We will make independent pricing and marketing decisions and will not improperly cooperate or coordinate our activities with our competitors. We will not offer or solicit improper payments or gratuities, nor will we engage or assist in unlawful boycotts of particular customers. We commit to comply with all applicable trade controls, restrictions, sanctions and import-export embargos.

We do not allow any violence of the fairness of any tendering process in any way. We refrain from damaging competition and the reputation of any business partners and any behaviour that harms competitor’s creditability.

We do not hold back maliciously, unlawfully or unduly payments towards our partners, and we do not allow such practices in our supply chain, we fight the unethical practice of “debt chain”.

Our staff is responsible for ensuring fair business during their job and adhere to every competition, consumer protection and fair marketing rule. Customers and business partners shall be treated fairly and equally, products and services shall be displayed in a manner that is fair and accurate (fair marketing and advertising), and that discloses all relevant information.

11. Security, protection and proper use of company assets

We are responsible for the security, protection and for the economic use of company resources. Our resources, including time, material, equipment and information are provided for legitimate business use only. Occasional personal use is permissible as long as it is lawful, does not affect job performance or disrupts workplace morale.

All staff is obliged to follow appropriate security measures and they should treat company property, whether material or intangible, with respect and shouldn’t misuse company assets or use it carelessly.

12. Confidentiality, information security, proprietary information and intellectual property

We are committed to business information confidentiality, integrity and accessibility, we implement proper technical security measures this and it is our staff’s obligation to uphold this. Proprietary information includes all non-public information that might be harmful to the company or its customers, business partners if disclosed to unauthorised parties. All staff must handle any such information as secret. It also covers that, no one is entitled to trade with securities while in possession of non-public information or deliver non-public information to others that could have impact on the securities. Every rule ensuring information security must be followed all times.

We respect the property rights of others. We will not acquire or seek to acquire trade secrets or other proprietary or confidential information by improper means. We will not engage in unauthorized use, copying, distribution or alteration of software or other protected intellectual property.

13. Bribery and corruption

We take a zero-tolerance approach to bribery and corruption and comply with anti-bribery and corruption laws and regulations. We are committed to implementing and enforcing effective systems to counter bribery and corruption and we encourage our business partners to share our commitment.

14. Privacy, and personal data protection

We respect people’s privacy, and we acknowledge customers, employees and other natural persons’ need to feel confident that their personal data is processed appropriately and for a legitimate business purpose. We are committed to comply with all personal data protection laws. We only acquire and keep personal information that is necessary, and we give proper information on these activities to data owners. We implement proper security measures to assure confidentiality, integrity and availability of personal information.

Our staff must observe the legal requirements, apply compliant practices and follow related procedures to ensure legality of personal data handling and processing activities.

4. I-Spray’s Anti-bribery Policy

This Policy applies to all employees, and directors of I-Spray and of the Company’s subsidiaries, affiliates, and related corporations, whether permanent or temporary (“Company Employees”).

I-Spray has zero tolerance on bribery and corruption.

I-Spray upholds all applicable laws globally, including the (Singapore) Prevention of Corruption Act (the “SPCA”). In addition to Company Employees, officers, managers and directors of the Company’s Representatives, vendors, contractors, shippers, agents, customers, suppliers, consultants, business contacts, advisers, brokers, including authorized travel agents and general sales agents, and any other entity that performs services for or on behalf of the Company or any of its subsidiaries or their employees, wherever located (collectively, “Associated Persons”) are expected to have and comply with their own ethical business policies or comply with this Policy. Any breach of this Policy could result in disciplinary action including, but not limited to, dismissal of the employee or termination of the relationship with Associated Persons.

5. I-Spray’s Health, Safety & Environmental Policy

I-Spray shall comply with all applicable Health, Safety & Environmental Legislations, Regulations & Customer Requirements.

In consultation with and participation of workers, we are committed to monitor and improve environmental performance, pollution prevention and environmental protection.

When performing work at the workplace, all workers shall exercise personal care & responsibilities to prevent pollution to the environment, incidents, injury or ill health of employees.

We shall continually improve the HSE Management System to enhance Customer Satisfaction

6. I-Spray’s Diversity and Inclusion Policy

I-Spray is committed to a workplace environment that promotes diversity and inclusion and creates an open and inclusive culture where everyone feels valued.

This policy does not alter or amend employees’ contracts of employment or form a part of any such contract of employment. I-Spray updates this policy in accordance with Government Regulations.

7. I-Spray’s Procurement Policy

Introduction

I-Spray is committed to conducting procurement activities in a transparent, ethical and efficient manner. This policy outlines the principles, guidelines, and procedures for all procurement processes within I-Spray.

Procurement Principles

  • Transparency: I-Spray will ensure that all procurement activities are conducted openly and fairly. Information about procurement opportunities and processes will be readily available to potential vendors.
  • Fair Competition: Procurement activities will promote fair competition among vendors, ensuring equal opportunities for all qualified vendors
  • Ethical Conduct: I-Spray expects all procurement staff to maintain the highest ethical standards, acting in the best interests of I-Spray and avoiding conflict of interest.

Procurement Procedure

  • Needs Assessment: Procurement activities will be initiated based on a comprehensive needs assessment, ensuring that purchases are aligned with I-Spray’s requirements.
  • Vendor Selection: Vendors will be selected through a competitive and transparent approval process.
  • Vendor Evaluation: Vendor performance will be evaluated on terms including quality, delivery and support.

Contract Management

  • Contractual Agreement: All procurements will be based on written contracts/agreements, clearly specifying terms, conditions, deliverables, and expectations.
  • Compliance: Vendors are expected to comply with terms and conditions in contracts/agreements, as well as applicable laws and regulations. • Payment: I-Spray shall pay vendors, based on terms and conditions agreed, mutually.
  • Disputes: Any dispute arising from Procurement Contracts/Agreements shall be resolved in accordance with Singapore Laws.

8. I-Spray’s Human Rights Policy

Purpose

I-Spray strives to identify, prevent, and address actual or potential human rights issues within our scope of control and influence. In that regard, I-Spray fully supports and adheres to the principles of both the United Nations Global Compact and the Universal Declaration of Human Rights. The company does not tolerate human rights violations and will do business with all stakeholders who behave similarly.

Scope

This policy applies to all directors, management staff, employees and supply chain partners. It is intended to operate in conjunction with I-Spray’s Vision, Mission, other policies, and Code of Conduct.
Policy

A. Human Rights

I-Spray is committed to acting in a manner that evidences our belief in human rights, dignity, and fairness, as reflected in our Code of Conduct, Vision, Mission, policies and processes, including our employment practices, non-discrimination policies, minimum age requirements, fair compensation practices, and our health and safety policies. Further, I-Spray will comply with all laws and regulations regarding human rights and adhere to the principles of the United Nations Global Compact and the Universal Declaration of Human Rights. I-Spray will not willingly or knowingly assist in any violation of human rights, benefit from human rights abuses, or remain silent when human rights violations are being committed.

B. Labour

I-Spray is committed to promoting human rights within its labor force.

To that end I-Spray:

  • Respects the freedom of association and the recognition of the right to collective bargaining provided by law.
  • Works to eliminate all forms of forced and compulsory labour, including prison and bonded labour.
  • Prohibits human trafficking and child labour in support of its operations.
    Provides safe and secure working conditions for employees, contractors, and all others working on its’ behalf.
  • Complies with all applicable wage laws.
  • Does not tolerate discrimination with respect to employment and occupation, including not making employment-related decisions based on any characteristics protected by applicable law, such as age, colour, gender, gender identity, national origin, physical or mental disability, race, religion, sexual orientation or any other legally protected personal basis.

C. Raising Concerns

All persons are encouraged to report any concerns regarding human rights to I-Spray through the reporting processes outlined in the Code of Conduct, including the I-Spray’s Hotline, which provides anonymity to the extent permitted by law. I-Spray prohibits retaliation against anyone who reports a concern in good faith.

9. Data Protection Policy

1. Why we have this Policy

1.1. I-Spray needs to collect and use certain types of information about people (personal data) with whom we deal, in order to operate and carry out our legitimate business purposes.

1.2. This policy provides information about data protection and how it applies to I-Spray, together with providing the steps to be taken by I-Spray who have access to the personal data of individuals with whom ISpray has or may have a relationship. This could include our staff & any individual we deal with.

2. Who this Policy relates to

2.1. This policy applies to stakeholders engaged in activities supporting and delivering the I-Spray’s objectives. Staff & part-time employees are required to abide by an equivalent policy.

2.2. We understand that legal requirements may be different in other countries but, as the I-Spray is a SGbased organisation and subject to SG law, all those who work on behalf of I-Spray are required to comply with the relevant standards. We do not believe that any of our policies will create a conflict with local laws but if you have any concern please contact our staff for clarification.

3. Overview of this Policy

3.1. The Data Protection principles mean that, to be lawful, the collection and use of personal data must meet the following criteria:

Lawfulness, fairness and transparency
Wherever personal data is collected an individual is provided with information on why we are collecting the information, what we will do with it, how long we will retain that information, etc. This is reflected in the Personal Data Policy MEMO.
Purpose limitation
There is always a legitimate ground to collect that data: a) Consent (the individual wishes to be contacted) b) Contract (to fulfil a contract) c) Legal obligation (to fulfil a legal requirement) d) Vital interest (to protect someone’s life) e) Public interest (to perform tasks in the public interest) f) Legitimate interests to both I-Spray and that individual
Data minimisation
Personal data shall be adequate, relevant and limited to what is necessary to the purposes for which they are processed
Accuracy
Personal data shall be accurate and, where necessary, kept up to date
Storage limitation
Personal data shall be kept in a form which permits identification of individuals for no longer than is necessary for the purposes for which they are processed
Integrity and confidentiality
Personal data shall be processed in a manner that ensures appropriate security of the personal data, including protection against unauthorised or unlawful processing and against accidental loss, destruction or damage, using appropriate technical or organisational measures
Accountability
I-Spray shall be responsible for, and be able to demonstrate compliance with the PDPA

4. Definitions

Personal Data

4.1. Personal data means any information relating to an identified or identifiable natural person.

4.2. An identifiable person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that person.

4.3. Personal data can also include items such as name, email address, home telephone number, mobile number, and photographs.

4.4. As a matter of practice, it is best to treat any information about an individual as personal data

Processing of Personal Data

4.5. In relation to personal data, processing can mean obtaining or storing the data or carrying out any operation or set of operations on or using the data, including viewing and deleting.

4.6. The definition of processing is very wide, and it is difficult to think of anything I-Spray might do with data that will not be processing. It includes any analysis of data or assessment, as well as using it to contact people.

4.7. Personal data may be held electronically or manually, as CCTV recordings, video and photographs.
